1. AGREEMENT
The website located at www.samedaydentalimplantcenter.com and each sub-site thereof (collectively, the “Site”) are copyrighted works belonging to Center for Implant Dentistry in Fremont, California (“CID,” “we,” “our,” or “us”). CID provides information about our services, facilitates appointment requests, and offers other features through the Site (collectively, the “Services”). Certain features of the Services or the Site may be subject to additional guidelines, terms, or rules posted in connection with those features (“Additional Terms”), all of which are incorporated by reference into these Terms of Use (the “Terms”).
These Terms set forth the legally binding conditions governing your use of the Site and Services. By accessing or using the Site or Services, you accept these Terms (on behalf of yourself or any entity you represent) and you represent and warrant that you have the right, authority, and capacity to enter into these Terms. IF YOU DO NOT AGREE WITH ALL PROVISIONS OF THESE TERMS, DO NOT ACCESS OR USE THE SITE OR SERVICES. These Terms incorporate our Privacy Policy.
2. MODIFICATION OF THESE TERMS OF USE
CID may, in its sole discretion, modify, change, or replace any part of these Terms and any applicable Additional Terms at any time. We may notify you of updates by adjusting the “Last Updated” date above. Changes are effective upon posting (or any later effective date stated in the notice). If you object to any changes, your sole recourse is to cease using the Services.
3. CONDITIONS OF YOUR USE
A. Eligibility.
You must be at least eighteen (18) years old (or the age of majority in your jurisdiction) to use the Services.
B. Prohibited Conduct.
As a condition of use, you agree you will not use the Services or any content you provide (“Content”) in any manner that is unlawful, harmful, offensive, sexually explicit, obscene, violent, threatening, harassing, abusive, defamatory, invasive of privacy, or otherwise objectionable to CID. Without limitation, you will not:
- use the Services or Content in a way that could damage, disable, overburden, or impair the Services or interfere with others’ use;
- obtain or attempt to obtain any materials or information through means not intentionally made available;
- harvest, scrape, or mine data from the Services;
- interfere with the proper operation or any security measure of the Services or Content;
- infringe any intellectual property, privacy, or other rights of any third party;
- imply an unauthorized association with CID or exceed the scope of the limited license granted to you; or
- otherwise violate these Terms or any applicable Additional Terms.
C. Compliance.
You agree to comply with all applicable local, state, federal, and international laws and regulations relating to your use of the Services and Content.
4. COPYRIGHTS AND TRADEMARKS
All trademarks, logos, service marks, copyrights, and other intellectual property displayed on the Site are the property of Center for Implant Dentistry and/or third parties. You may not copy, reproduce, modify, distribute, transmit, display, publish, sell, license, transfer, create derivative works from, or otherwise use any content obtained on or through the Site for any commercial or public use without prior written permission from CID or the applicable owner.
5. LINKS TO OTHER SITES
The Site may contain links to third-party websites and resources, including our Fremont location on Google Maps. CID does not control and is not responsible for third-party content, policies, or practices. Linking does not imply affiliation, endorsement, authorization, or sponsorship. Review the terms and privacy policies of any third-party sites you visit.
You hereby release and forever discharge CID (and our officers, employees, agents, successors, and assigns) from any and all claims and liabilities arising from or relating to your interactions with third-party sites. If you are a California resident, you waive California Civil Code § 1542, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor.”
6. MEDICAL REPRESENTATIONS
Information on the Site is general and not specific to any individual patient’s condition. The Site is not a substitute for professional dental advice, diagnosis, or treatment, and no provider-patient relationship is created by use of the Site. Always consult a licensed dental professional at CID regarding any dental health questions. Never disregard professional advice because of something you read on the Site.
7. ACCURACY
While we use reasonable efforts to provide current and accurate information, CID does not warrant the accuracy, reliability, or completeness of information on the Site.
8. NO WARRANTY
The Site, Services, and all content are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, title, non-infringement, security, or accuracy. CID disclaims liability for any damage or malware that may affect your devices as a result of your access to or use of the Site.
9. REGISTRATION
Some features may request information from you (e.g., name, phone, email) to confirm appointments or respond to inquiries. By using those features, you grant CID the right to use your information consistent with our Privacy Policy.
10. INDEMNITY
You agree to indemnify and hold CID and its owners, clinicians, employees, and agents harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or Services; (b) your Content; (c) your violation of these Terms; or (d) your violation of applicable laws.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CID AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF FIFTY U.S. DOLLARS (US $50) OR THE AMOUNTS YOU PAID TO CID IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
12. TERM AND TERMINATION
These Terms remain in effect while you use the Site or Services. We may suspend or terminate access at any time for any reason, including violations of these Terms. Upon termination, your right to use the Services ceases immediately and related Content may be deleted.
13. GOVERNING LAW AND DISPUTE RESOLUTION
A. Governing Law and Venue. These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any action or proceeding relating to these Terms or the Site/Services must be brought in state courts located in Alameda County, California or in federal courts within California, unless submitted to arbitration as set forth below. CID may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
B. Contact CID First. If a dispute arises, please email us at legal@samedaydentalimplantcenter.com so we can try to resolve it informally.
C. Alternative Dispute Resolution. For any claim where the total amount sought is less than $10,000 USD, the party requesting relief may elect binding non-appearance-based arbitration administered by a nationally recognized provider. The arbitration may proceed by telephone, online, or written submissions, without personal appearances unless agreed by the parties. Any judgment on the award may be entered in any court of competent jurisdiction.
14. USER-GENERATED CONTENT
By submitting reviews, testimonials, images, or other content (collectively, “UGC”) to CID websites, mobile apps, or social pages, you represent that you are at least 18, you own or control all rights in the UGC, and your UGC does not violate any laws or third-party rights. You grant CID and its affiliates a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, publish, translate, distribute, display, and create derivative works from your UGC in any media for lawful purposes (including marketing), with or without your name, likeness, voice, or other identifiers. You waive any moral rights to the extent permitted by law.
You agree not to submit UGC that is unlawful, defamatory, misleading, obscene, offensive, infringing, or that contains malware or advertising for third-party products/services. CID may remove UGC at any time in its discretion. If you have a material connection to CID (e.g., employee, paid ambassador), disclose that connection when you post.
